1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Happy Reppy service ("Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the company you represent ("Customer").

2. The service

Happy Reppy is a lead-dispatch tool for home-services and construction sales teams. Customer is responsible for the accuracy and lawfulness of the data they enter, including end-customer contact information.

3. Accounts and access

Customer is responsible for maintaining the confidentiality of its account credentials and for all activity that occurs under its account. Owners may invite managers and reps; Customer is responsible for their access.

4. Customer data

Customer retains all rights to the data it uploads. Customer grants Happy Reppy a limited license to host, process, and transmit that data solely to operate the Service. Customer represents that it has the right to collect and share the end-customer information it enters, including any phone numbers used for SMS notifications.

5. Fees and billing

Paid plans are billed in advance on a monthly or annual basis through our payment processor. Fees are non-refundable except where required by law. Free trials convert to a paid subscription only if Customer affirmatively subscribes.

6. Acceptable use

Customer will not: (a) send unlawful, harassing, or unsolicited messages using the Service; (b) reverse engineer the Service; (c) use the Service to store or transmit sensitive categories of personal data it is not authorized to process; or (d) attempt to gain access to another Customer's data.

7. SMS notifications

Reps receive SMS notifications only after affirmatively opting in. Standard message and data rates may apply.

8. Termination

Either party may terminate for any reason. Upon termination, Customer will lose access to the Service and, after a reasonable retention window, its data may be deleted.

9. Disclaimers

The Service is provided "as is" without warranties of any kind. Happy Reppy does not guarantee uninterrupted or error-free operation.

10. Limitation of liability

To the maximum extent permitted by law, Happy Reppy's aggregate liability arising out of or related to these Terms will not exceed the amount paid by Customer in the twelve months preceding the claim.

11. Changes

We may update these Terms. Material changes will be communicated to Customer's account owner.
